Terms of Service : Media Cleanup Shopify App

1. Acceptance of Terms

Welcome to Media Cleanup. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and Media Cleanup ("Company," "we," "us," or "our") governing your use of the Media Cleanup application (the "App" or "Service").

By installing, accessing, or using Media Cleanup, you agree to be bound by these Terms. If you do not agree to these Terms, do not install or use the App.

If you are installing Media Cleanup on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

2.1 What Media Cleanup Does

Media Cleanup is a media file management and optimization application for Shopify stores. The App provides:

Scanning & Analysis:

• Comprehensive media library scanning (images, videos, documents)

• Usage detection across products, collections, blog posts, pages, and themes

• File size analysis and storage impact reporting

• Alt text audit and missing alt text identification

• Oversized file detection (files > 1MB)

File Management:

• View all media files with detailed information

• Filter and search files by type, status, size

• Sort files by various criteria

• Identify unused files safe to delete

Safe Deletion (Pro Plan):

• Move files to trash with 30-day restoration period

• Automatic backup to Cloudflare R2 cloud storage before deletion

• Preview deleted files before permanent removal

• Bulk delete operations with usage warnings

Alt Text Management (Pro Plan):

• Edit alt text directly from the App

• Improve accessibility and SEO

Reporting & Statistics:

• Dashboard with storage analytics

• File type breakdowns

• Usage statistics and trends

• Scan history tracking

2.2 What Media Cleanup Does NOT Do

Media Cleanup does not:

• Guarantee increased sales or specific business outcomes

• Provide financial, legal, or tax advice

• Manage products, inventory, or orders

• Process payments or handle customer data

• Automatically delete files without your explicit action

• Access or modify customer information

3. Eligibility

To use Media Cleanup, you must:

• Be at least 18 years old or the age of majority in your jurisdiction

• Have a valid Shopify store in good standing

• Have authority to grant the required API access permissions

• Comply with all applicable laws and Shopify's Terms of Service

• Not be located in a country subject to U.S. embargo or designated as a "terrorist supporting" country

4. Account and Access

4.1 Shopify Authentication

Media Cleanup uses Shopify's OAuth system for authentication. By installing the App, you authorize Media Cleanup to access your Shopify store data as specified during the installation process.

4.2 API Permissions

You grant Media Cleanup permission to:

• Read files: Access media files and metadata in your Shopify store

• Write files: Delete media files from your Shopify store (only when you explicitly request deletion)

• Read products: View product information to determine media usage

• Read content: View blog posts and pages to determine media usage

• Read themes: Access theme settings and files to determine media usage in themes

These permissions are necessary for the App to function. You can revoke access at any time by uninstalling the App.

4.3 Account Security

You are responsible for:

• Maintaining the security of your Shopify account

• All activities that occur under your account

• Ensuring authorized personnel access the App

• Notifying us immediately of any unauthorized access at team@mediacleanupapp.in

5. Pricing and Payment

5.1 Subscription Plans

Media Cleanup offers the following subscription plans:

5.2 Billing

• All paid subscriptions are billed through Shopify's billing system

• Charges appear on your regular Shopify invoice

• Subscriptions are billed monthly in advance

• All fees are in USD unless otherwise specified

• Payment is due immediately upon subscription activation

5.3 Free Trial

• Pro plan includes a 14-day free trial for new users

• Trial period begins upon subscription activation

• You will not be charged during the trial period

• You can cancel anytime during the trial without charge

• If you don't cancel before trial ends, you'll be charged the monthly rate

• Trial is available once per store

5.4 Plan Changes

• Upgrading: You may upgrade from Free to Pro at any time; changes take effect immediately. You'll be charged a prorated amount for the current billing period.

• Downgrading: You may downgrade from Pro to Free at any time; changes take effect at the end of your current billing period. You'll retain Pro features until then.

• Feature Access: When downgrading, Pro features (trash restoration, alt text editing) become unavailable immediately at billing cycle end. Files in trash will be permanently deleted.

5.5 Refunds

• Refund requests are handled on a case-by-case basis

• Contact team@mediacleanupapp.in within 14 days of charge for consideration

• We reserve the right to deny refunds for policy violations

• Refunds are typically issued for billing errors or technical issues preventing App use

• No refunds for partial months or unused features

5.6 Price Changes

• We may modify pricing with 30 days' advance notice

• Price changes do not affect your current billing cycle

• You'll be notified via email and in-app notification

• Continued use after price changes constitutes acceptance

• You may cancel your subscription if you don't accept new pricing

5.7 Taxes

• Prices do not include applicable taxes

• You are responsible for all taxes, duties, and assessments

• Taxes may be added to your Shopify invoice based on your location

6. Acceptable Use

6.1 You Agree To:

• Use Media Cleanup only for lawful purposes

• Provide accurate information when using the App

• Comply with Shopify's Terms of Service and Acceptable Use Policy

• Respect intellectual property rights

• Review files carefully before deletion

• Maintain your own backups of important files (in addition to our 30-day trash)

• Use the App in good faith for its intended purpose

6.2 You Agree NOT To:

• Use the App to violate any laws or regulations

• Attempt to gain unauthorized access to our systems or other users' data

• Reverse engineer, decompile, or disassemble the App

• Use the App to harm, harass, or defraud others

• Resell, sublicense, or redistribute access to the App

• Use automated means (bots, scrapers) to access the App beyond normal usage

• Interfere with or disrupt the App's operation or servers

• Misrepresent your affiliation with any person or entity

• Upload malicious code or viruses

• Abuse support channels or harass our team

• Attempt to circumvent scan limits or plan restrictions

6.3 File Deletion Responsibility

IMPORTANT: You are solely responsible for all file deletion decisions made using Media Cleanup. This includes:

• Reviewing files before deleting them

• Verifying usage detection results (while accurate, you should confirm critical files)

• Understanding that deleting files may break your store's appearance or functionality

• Using the restore feature (Pro plan) if you delete files by mistake

• Maintaining your own backups of critical files

• Ensuring deleted files are not needed for future use

Media Cleanup provides tools; you make the business decisions.

We are not liable for any consequences of file deletions, including:

• Broken product images or pages

• Lost media assets

• Negative impact on store appearance

• SEO impacts from deleted images

• Any business losses resulting from deletions

7. Intellectual Property

7.1 Our Intellectual Property

Media Cleanup, including its design, features, code, documentation, branding, and trademarks, is owned by us and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the App according to these Terms.

You may not:

• Copy, modify, or create derivative works of the App

• Remove or alter any proprietary notices

• Use our trademarks without permission

7.2 Your Content

You retain ownership of your Shopify store data, media files, and business content. By using Media Cleanup, you grant us a limited license to access and process this data solely to provide the Service.

This license terminates when you uninstall the App or when we delete your data.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the App, you grant us the right to use this feedback without restriction or compensation. We may implement your suggestions in the App without owing you anything.

8. Data and Privacy

8.1 Privacy Policy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Media Cleanup, you consent to our data practices as described in the Privacy Policy.

8.2 Data Ownership

• You own your Shopify store data and media files

• We own aggregated, anonymized data derived from App usage

• We do not sell your identifiable data to third parties

• Scan results and metadata belong to you

8.3 Data Portability

You can export your data:

• File lists via CSV export (Pro plan)

• View scan results in the App dashboard

• Contact support at team@mediacleanupapp.in for additional data export requests

8.4 Data Deletion

Your data is automatically deleted within 48 hours of app uninstallation. You may also request immediate deletion by contacting team@mediacleanupapp.in.

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. The App may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)

• Emergency maintenance or security updates

• Factors beyond our control (Shopify outages, network issues, hosting provider issues)

We target 99% uptime but do not provide SLA guarantees for the Free plan.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes:

• We will provide 30 days' notice when feasible

• You may terminate your subscription if changes are unacceptable

• We will not be liable for any modifications or discontinuations

9.3 Third-Party Dependencies

Media Cleanup relies on:

• Shopify's API and platform: We are not responsible for Shopify service interruptions, API changes, or policy changes affecting App functionality

• Cloudflare R2: For deleted file backups (Pro plan). Outages may affect restore functionality.

• Fly.io: For hosting. Infrastructure issues may cause temporary unavailability.

10. Disclaimer of Warranties

10.1 "As Is" Service

MEDIA CLEANUP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

• ACCURACY OR COMPLETENESS

• ERROR-FREE OPERATION

• UNINTERRUPTED ACCESS

10.2 No Guarantee of Results

WE DO NOT WARRANT OR GUARANTEE THAT:

• The App will meet your specific requirements or expectations

• The App will be uninterrupted, timely, secure, or error-free

• Usage detection will be 100% accurate in all cases

• Scan results will identify every single usage instance

• Deleted files can always be restored (depends on R2 availability)

• Any defects will be corrected

• Using the App will improve your store performance or save specific amounts of storage

10.3 File Deletion Risks

YOU ACKNOWLEDGE THAT:

• File deletion decisions are your sole responsibility

• Deleting files may affect your store's appearance or functionality

• Usage detection, while comprehensive, may not catch every edge case

• You should review files carefully before deletion

• You should maintain your own backups of critical files

• Media Cleanup is a tool, not a substitute for careful file management

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDIA CLEANUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or business opportunities

• Loss of media files or inability to restore files

• Damages from deleted files affecting store functionality

• Cost of substitute services or recreating lost files

• Damages arising from your use or inability to use the App

• Damages from service interruptions or data loss

• Damages from third-party services (Shopify, Cloudflare R2, Fly.io)

11.2 Cap on Liability

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The amount you paid us in the twelve (12) months preceding the claim, or

• One hundred dollars ($100 USD)

11.3 Basis of the Bargain

The limitations in this section reflect the allocation of risk between the parties and are an essential basis of the bargain between us. The fees charged reflect these limitations.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Media Cleanup and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the App

• Your violation of these Terms

• Your violation of any third-party rights

• Your file deletion decisions and their consequences

• Any disputes with your customers related to media files or store functionality

• Your violation of any laws or regulations

• Content you upload or manage through the App

• Misuse of the App or its features

13. Termination

13.1 Termination by You

You may terminate your use of Media Cleanup at any time by:

• Uninstalling the App from your Shopify admin

• Canceling your subscription through Shopify's billing system

• Contacting us at team@mediacleanupapp.in to request account closure

13.2 Termination by Us

We may suspend or terminate your access to Media Cleanup:

• Immediately, for violation of these Terms

• Immediately, for violation of Shopify's Terms of Service

• Immediately, for abusive behavior or fraud

• With 30 days' notice, for any other reason

• Immediately, if required by law or Shopify

13.3 Effect of Termination

Upon termination:

• Your right to use the App ceases immediately

• Your subscription and recurring charges stop

• We will delete your data according to our Privacy Policy (within 48 hours)

• Files in trash (Pro plan) will be permanently deleted

• You will lose access to scan results and file metadata

• Sections that by their nature should survive termination will survive (Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution)

13.4 No Refund Upon Termination for Cause

If we terminate your account for violation of these Terms, you are not entitled to a refund of any fees paid.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at team@mediacleanupapp.in to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes within 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

14.3 Jurisdiction

For any disputes not resolved informally, you agree to submit to the jurisdiction of the courts located in Bangalore, India.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.5 Time Limitation

Any claim or cause of action arising from or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Media Cleanup regarding the Service and supersede all prior agreements, understandings, and communications.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to reflect the parties' intent as closely as possible.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless in writing.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction. Any attempted assignment in violation of this section is void.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

• Natural disasters (earthquakes, floods, fires)

• War, terrorism, riots, or civil unrest

• Government actions or embargoes

• Internet outages or telecommunications failures

• Shopify platform outages

• Third-party service provider failures

• Pandemics or public health emergencies

15.6 Notices

We may provide notices to you via:

• Email to the address associated with your Shopify account

• In-app notifications or banners

• Posting on the App's dashboard

• Posting on our website

Notices are effective upon sending (for email) or posting (for in-app/website).

15.7 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and Media Cleanup. You have no authority to bind us contractually.

15.8 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. Only you and Media Cleanup are parties to this agreement.

15.9 Survival

The following sections survive termination: Intellectual Property, Data and Privacy, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

16. Changes to Terms

We may modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date

• We will notify you via email or in-app notification

• Changes take effect 30 days after posting (or immediately for changes required by law or Shopify)

• We will provide a summary of significant changes

Your continued use of Media Cleanup after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App and uninstall it before the effective date.

For minor changes (typos, clarifications), we may not provide advance notice.

18. Acknowledgment

BY INSTALLING AND USING MEDIA CLEANUP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

You further acknowledge that:

• You have authority to bind your business to these Terms

• You understand file deletion is permanent after 30 days (Pro plan) or immediate (Free plan)

• You are responsible for reviewing files before deletion

• You accept the limitations of liability and warranty disclaimers

• You will use the App in accordance with all applicable laws
